Terms and Conditions for Wholesaler

These terms and conditions ("Agreement") are entered into by and between the Everything Mobile Wholesale ("Wholesaler") and the customer ("Customer"). This Agreement sets forth the terms and conditions under which Everything Mobile Wholesale agrees to provide wholesale products and services to Customer.

1. Wholesale Products:
Everything Mobile Wholesale agrees to provide Customer with wholesale products as specified in the order placed by Customer. The products will be delivered in the quantities and specifications agreed upon by both parties.

2. Pricing and Payment:
a. Wholesale prices: The prices for the wholesale products will be determined by Wholesaler and communicated to Customer. These prices are subject to change without prior notice.
b. Payment terms: Customer agrees to pay for the wholesale products within the agreed-upon timeframe, which may include full payment upfront or payment upon delivery. Late payments may incur additional charges or result in a suspension of services.
c. Taxes and fees: Customer is responsible for any applicable taxes, customs duties, or other fees associated with the purchase of wholesale products.

3. Orders and Delivery:
a. Order placement: Customer shall place orders for wholesale products through online ordering system provided by Wholesaler.
b. Delivery: Everything Mobile Wholesale will make reasonable efforts to deliver the wholesale products within the agreed-upon timeframe. However, Everything Mobile Wholesale shall not be liable for any delays or failures in delivery caused by circumstances beyond its control.
c. Shipping costs: Customers will be entitled to free standard shipping for purchases above $49, otherwise a flat $10 fee will be applied.

4. Product Quality and Returns:
a. Product quality: Wholesaler guarantees that all wholesale products will meet industry standards and specifications.
b. Inspection upon delivery: Customer shall inspect the wholesale products upon delivery and notify Wholesaler of any defects or discrepancies within a 14 days timeframe.
c. Returns and exchanges: Everything Mobile Wholesale may, at its discretion, accept returns or exchanges of defective or damaged wholesale products. Customer must notify Wholesaler and obtain authorization before returning any products. Please visit Return and Exchange Policy for more.

5. Intellectual Property:
a. Ownership: Everything Mobile Wholesale retains all rights, title, and interest in any intellectual property associated with the wholesale products.
b. Use of trademarks: Customer may use Everything Mobile Wholesale trademarks and logos solely for the purpose of promoting and selling the wholesale products. Any unauthorized use is strictly prohibited.

6. Confidentiality:
Both parties agree to keep any confidential information shared during the course of this Agreement confidential and not disclose it to any third party without prior written consent.

7. Termination:
Either party may terminate this Agreement with written notice if the other party breaches any material term of this Agreement. Upon termination, Customer shall pay any outstanding amounts owed to Wholesaler.

8. Limitation of Liability:
Everything Mobile Wholesale shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with this Agreement, including but not limited to lost profits or business interruption.


9. Entire Agreement:
This Agreement constitutes the entire agreement between Everything Mobile Wholesale and Customer regarding the subject matter hereof and supersedes all prior agreements, understandings, or representations.
